How to Track Investor Commitments Through to Received Funds
Track investor participation with separate records for stated interest, documented terms, required approvals, signatures and funds actually received. Reconcile the closing record with counsel and finance rather than counting every positive conversation as money raised. Use the cash forecast to distinguish available funds from expected receipts.

What you will learn
- Separate interest, transaction progress and confirmed cash
- Reconcile investor records to legal and bank evidence
- Identify partial receipts and unsafe payment-instruction changes
Track investor participation with separate records for stated interest, documented terms, required approvals, signatures and funds actually received. Reconcile the closing record with counsel and finance rather than counting every positive conversation as money raised. Use the cash forecast to distinguish available funds from expected receipts.
Keep relationship language out of the cash column
Record what the investor actually said, the date and any conditions. “Interested in $100,000 if a lead joins” is different from “documents signed,” and neither by itself establishes cash available for payroll. Do not convert a probability estimate into money received.
Ask counsel how the applicable agreements and conditions should be tracked. YC publishes SAFE documents and a user guide, but the presence of a template does not determine whether your financing is complete. Your actual documents, parties and required steps govern.
Build a record with distinct evidence
Use separate fields for indicative amount, documented amount, signature status, conditions, payment status and bank-confirmed amount. Track the legal entity and currency. Do not merge two investors because one person coordinates both, or count a currency amount without a stated conversion basis.
Require the appropriate reviewer for each field: the relationship owner for conversation notes, counsel for transaction state, finance for confirmed receipt. A receipt screenshot supplied by a counterparty is not necessarily confirmation in the company's account.
Worked reconciliation
Illustrative case: a founder's informal list totals $400,000, but the underlying states differ.
Participation and cash reconciliation
| Investor | Stated amount | Current evidence | Bank-confirmed receipt |
|---|---|---|---|
| A | $200,000 | Counsel-confirmed documents complete, funds reconciled | $200,000 |
| B | $100,000 | Documents in process, condition unresolved | $0 |
| C | $100,000 | Indicative interest only | $0 |
The useful summary is $200,000 confirmed received, $100,000 in a documented process with an open condition, and $100,000 indicative. The latter two are not treated as available cash. The example is simplified and does not establish accounting classification or legal enforceability.
Reconcile payment safely
Use the approved banking and closing process. The FBI recommends independently verifying payment requests and changes to account details or procedures. Verify through a trusted contact route, not the phone number supplied in the suspicious message.
For partial receipts, fees, foreign exchange, returned payments or mismatched names, preserve the actual transaction and ask finance and counsel how it affects the closing. Do not modify bank evidence to make the table match the expected amount. Avoid storing unnecessary bank or identity details in a broadly shared tracker.

Completion and external communication
Ask counsel and finance what can accurately be communicated about the round. Do not announce a participant without permission or describe an incomplete amount as closed. A transaction can be administratively underway without having achieved all required steps.
The record is complete when legal and cash states have current evidence and differences are explained. Use the pipeline lesson for relationship stages; this exercise is the narrower reconciliation from a conversation to a verified receipt.
