How to Prepare Commercial Due Diligence Materials
Prepare commercial due diligence materials as a chain from the business claim to the underlying customer, contract and operating evidence. Define the period and metric, reconcile inconsistencies, and give reviewers an index that explains what each file proves. A large folder is not the same as a usable commercial evidence pack.

What you will learn
- Connect commercial claims to source evidence
- Reconcile customer counts, contracts and revenue definitions
- Build a reviewed evidence index with gaps and permissions
Prepare commercial due diligence materials as a chain from the business claim to the underlying customer, contract and operating evidence. Define the period and metric, reconcile inconsistencies, and give reviewers an index that explains what each file proves. A large folder is not the same as a usable commercial evidence pack.
Define the commercial questions
Start with the questions investors actually asked: who buys, why they buy, how sales convert, what customers pay, what remains after delivery costs and whether demand persists. Choose a period and responsible owner for each question. Do not begin by exporting every customer record.
Create a metric dictionary. A customer can mean a company, location, account or paying contract. Use the same definition in the deck and evidence pack. Keep pilots, signed contracts, invoices, recognized revenue and cash collections distinct.
Reconcile before compressing
Stripe explains that bookings and ARR are different measures. Use finance-reviewed definitions appropriate to your business rather than relabeling one as another. Contract length and collection timing can also differ from the period in which revenue is recognized.
Reconcile totals to an approved source, then show exclusions and adjustments. A CRM export might include closed-lost opportunities or duplicate parent and subsidiary records. A signed pilot may never have become paying usage. Investigate the discrepancy instead of selecting the larger number.
Build the evidence index
For each claim, include a short answer, metric definition, period, source location, reviewer, known limitation and permitted audience. Where practical, prepare an approved aggregate before asking anyone to access raw records.
Material contracts, customer communications and personal data may have restrictions. FTC guidance on data minimization and access supports limiting what is exposed. Ask qualified owners what can be shared; this worksheet does not determine disclosure obligations.
Worked example: reconcile the headline
Illustrative case: HarborOps's sales sheet lists twelve “customers.” A review finds eight paying locations, three unpaid pilots and one duplicate location. The commercial pack uses eight paying locations and reports pilots separately.
Commercial evidence index
| Claim | Evidence | Limit and owner |
|---|---|---|
| Eight paying locations at period end | Reconciled account list and billing support | Location is the unit; finance review |
| Three unpaid pilots | Pilot agreements and current status | Not revenue; commercial owner |
| Sales cycle | Dated first-qualified and signed events | Small observed sample; sales owner |
| Renewal evidence | Contracts eligible for renewal in period | Immature cohorts identified explicitly |
The revised pack is less dramatic and more useful. It explains the bridge from the earlier number rather than quietly changing the deck and hoping nobody notices.

Completion and common failures
Stop if the contract list and financial figures do not reconcile. Do not replace missing retention evidence with website traffic or a pipeline chart. If a request asks for more detail than you are authorized to share, route it for review and offer an approved alternative where appropriate.
You are finished when material claims have sources, definitions reconcile and unresolved gaps are visible. The existing data-room checklist owns the broad folder inventory. This lesson supplies a commercial evidence chain, not an audit opinion or accounting determination.
